Thank you for using Spinoff. This Terms of Service (”Terms”) is between you and Spinoff Interactive and governs use of its products and services (”Service”). By using Service, you agree to be bound by this Terms. If you do not agree with the Terms, you are not entitled to use the Service.
We reserve the right to modify these Terms at any time. For instance, we may need to change these Terms if we come out with a new feature or for some other reason. If you continue to use the Service after the revised Terms get published, then you have accepted the changes to these Terms.
Spinoff Interactive grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal purposes. You may only use the Service on devices that you own or control and as permitted by the App Store Terms of Service.
The content on the Service includes all digital assets, branding, interactive features, and all other materials provided by you, Spinoff Interactive, or other thirds party (Content).
You retain ownership rights in your Content. However, we require you to grant Spinoff Interactive a worldwide, non-exclusive, royalty-free license to use the Content to operate and promote the Service. We also require you to grant Spinoff Interactive the right to monetize your Content on the Service, such as displaying ads, for example.
You are responsible for the content that you submit to the Service, including its legality, reliability, and appropriateness. You may remove your Content from the Service anytime.

From time to time, we may provide you with links to third party websites or services that we do not own or control. Your use of the Service may also include the use of applications that are developed or owned by a third party. Your use of such third party applications, websites, and services is governed by that party's own terms of service or privacy policies. We encourage you to read the terms and conditions and privacy policy of any third party application, website or service that you visit or use.
When you create an account to log in to the Service, you agree to maintain the security of access to the Service on your device and accept all risks of unauthorized access to any data or other information you provide to the Service.
If you discover or suspect any security breach, please let us know as soon as possible.
You agree not to not exploit the Service in any unauthorized way whatsoever, including but not limited to, interfering its network operations. You agree not to use Service in any manner to intimidate, threaten, stalk, harass, or infringe or violate the rights of any other party. You agree that Spinoff Interactive is not in any way responsible for any such use by you, nor for any threatening, defamatory, harassing, offensive, or illegal messages or transmissions that you may receive as a result of using Service. You agree not to circumvent or attempt to circumvent any filtering, security measures, rate limits or other features designed to protect the Service, users of the Service, or third parties.
You are responsible for compliance with any applicable laws, including the local laws. We make no representation that Service is available for use in any particular location. Spinoff Interactive reserve the right to change or disable access to Service at any time without notice. In no event will Spinoff Interactive be liable for the change or disabling of access to Service. Spinoff Interactive may also impose limits on the use of or access to Service in any case and without notice or liability.
By using the Service, you represent and warrant that (a) you are 12 years of age or older and you agree to be bound by this Terms; (b) if you are under 12 years of age, you have obtained verifiable consent from a parent or legal guardian; and (c) your use of the Service does not violate any applicable law or regulation. Your access to the Service may be terminated without warning if Spinoff Interactive believes, in its sole discretion, that you are under the age of 12 years and have not obtained verifiable consent from a parent or legal guardian. If you are a parent or legal guardian and you provide your consent to your child’s use of the Service, you agree to be bound by this Terms in respect to your child’s use of the Service.
Certain Content may not be allowed to be used through the Service. Spinoff Interactive will moderate all content and ultimately decide whether or not to allow to use such content including, in conjunction with, or alongside any, Objectionable Content. Objectionable Content includes, but is not limited to: (i) sexually explicit materials; (ii) obscene, defamatory, libelous, slanderous, violent and/or unlawful content or profanity; (iii) content that infringes upon the rights of any third party, including copyright, trademark, privacy, publicity or other personal or proprietary right, or that is deceptive or fraudulent; (iv) content that promotes the use or sale of illegal or regulated substances, tobacco products, ammunition and/or firearms; and (v) gambling, including without limitation, any online casino, sports books, bingo or poker.
Spinoff Interactive disclaims all warranties about the Service to the fullest extent permitted by law. To the extent any warranty exists under law that cannot be disclaimed, Spinoff Interactive shall be solely responsible for such warranty. In no event shall total liability of Spinoff Interactive to you for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the amount of hundred dollars ($100.00). The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.
To the extent not prohibited by law, in no event shall Spinoff Interactive be liable for personal injury, or any incidental, special, indirect or consequential damages whatsoever, including, without limitation, damages for loss of profits, loss of data, business interruption or any other commercial damages or losses arising out of or related to your use of inability to use the licensed application, however caused, regardless of the theory of liability and even if application provider has been advised of the possibility of such damages. In no event shall total liability of Spinoff Interactive to you for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the amount of one hundred Singapore dollars (SGD $100.00). The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.
The validity of these Terms and the rights, obligations, and relations of the parties under these Terms will be construed and determined under and in accordance with the laws of the jurisdiction where our business is located, without regard to conflicts of law principles.
You expressly agree that exclusive jurisdiction for any dispute with the Spinoff Interactive or relating to your use of it, resides in the courts of laws of the jurisdiction where our business is located and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of laws of the jurisdiction where our business is located in connection with any such dispute including any claim involving Spinoff Interactive. You further agree that you and Spinoff Interactive will not commence against the other a class action, class arbitration or other representative action or proceeding.
In the future, Spinoff Interactive may offer additional products and services for purchase through the App Store, Google Play or other application platforms (“in app purchases”). If you choose to make an in app purchase, you will be prompted to enter details for your account with the mobile platform you are using (e.g., Apple, Android, etc.) (“your IAP Account”), and your IAP Account will be charged for the in app purchase in accordance with the terms disclosed to you at the time of purchase as well as the general terms for in app purchases that apply to your IAP Account. In app purchases may include a free trial period. At the end of the free trial period, you will be charged the price of the subscription and will continue to be charged until you cancel your subscription. To avoid any charges, you must cancel before the end of the trial period. If you purchase an auto-recurring periodic subscription through an in app purchase, your IAP Account will be billed continuously for the subscription until you cancel in accordance with the platform terms.
If you breach any of these Terms, we have the right to suspend or disable your access to or use of the Service.
These Terms constitute the entire Terms between you and Spinoff Interactive regarding the use of the Service, superseding any prior Terms.
